Vendor Agreement
This policy is a draft. It will be reviewed by a Pakistani lawyer before Rizq Rasan launches, and the English text is the binding version.
This agreement is between Rizq Rasan (Pvt) Ltd (“Rizq Rasan”, “we”, “us”) and the food business that accepts it while joining the platform (“you”, “the vendor”). It adds to our Terms of Service, which also apply to you. If the two disagree on a point, this agreement wins for that point. Words such as “listing”, “claim”, “order” and “pickup code” mean the same here as in the terms.
1. Parties and how this agreement is made
- The parties. The agreement is made with your business, not with the person who accepts it. Our details are on the Legal Information page.
- Who accepts it. A person aged 18 or over who is allowed to act for your business, shown by a board resolution or authority letter. By accepting, they confirm that authority.
- Accepting online. Under the Electronic Transactions Ordinance 2002, accepting online has the same effect as signing on paper. We record the version, language, time and IP address of your acceptance.
- When it starts. When we approve your business. You can prepare drafts before then, but not publish them.
- The pilot. Partners invited before launch sign separate pilot terms, which apply until this agreement takes effect for them. During the pilot, NGOs pay vendors directly, no commission is charged and Rizq Rasan is not involved in the payment.
2. Who can be a vendor
You must be a food business, such as a restaurant, bakery, grocer or cafe, registered in Pakistan and operating in Islamabad, and keep meeting these conditions while this agreement lasts:
| What we need | Details |
|---|---|
| Business registration | SECP certificate, partnership deed, or a sole proprietor’s CNIC and declaration |
| NTN | Required. We check your status on FBR’s Active Taxpayer List |
| Food licence | A valid Islamabad Food Authority licence. Required |
| Restaurant registration | Department of Tourist Services registration, for restaurants and cafes |
| Signatory | The CNIC of the person who signs for you, with a board resolution or authority letter |
| Bank letter | An account maintenance certificate for an account in your business name. Payouts go only to this account |
| Address | Proof of address for your pickup point |
| Halal certificate (optional) | Your listings then show “halal-certified” instead of “vendor-declared” |
We also screen every signatory against the UN Security Council sanctions list and Pakistan’s proscribed-organisations and Fourth Schedule lists, and do a video call or site visit with each of our first 20 partners. We aim to decide on a complete application within 2 working days, and re-check every vendor every 12 months and whenever a document expires. If you stop meeting these conditions, for example because your food licence lapses, stop listing and tell us. The Verification Policy explains every check.
3. Your food safety promises
Rizq Rasan does not prepare, own, store, transport or inspect food. You are the seller, and the food is your responsibility until handover. For every listing, you promise that:
- the food is safe to eat, within its use-by date, not adulterated, not recalled, and yours to sell;
- it was never served to customers, and is not a plate return or part-eaten food;
- it has been prepared, stored and handled lawfully and hygienically, with chilled food at 5°C or below and hot-held food at 60°C or above until handover, and any cooked food stored chilled was chilled within 2 hours of cooking;
- the listing is true: the right category, the real quantity, a fair estimate of weight, and accurate preparation, room-temperature and label dates and times;
- allergens and meat content are marked correctly, with “may contain” ticked where your kitchen handles allergens that could reach the food;
- your halal declaration is true. It shows as “vendor-declared” unless you have uploaded a halal certificate, and either way it is yours;
- packaged goods keep their ingredients and date labels;
- you hold every licence and registration the law requires to sell the food.
Before each listing goes live, you tick two boxes confirming the food was never served to customers and is not a plate return, and that it has been stored correctly and is safe to eat. You are liable for any defect in the food at handover. The Food Safety Policy forms part of this agreement.
4. Food you may list and its time limits
- Categories open in stages. First tandoor breads, plain bakery, mithai, fruit and vegetables, packaged goods and drinks. Cooked food opens from 1 February 2027, only if the pilot’s first 4 weeks pass with no food incident. Cream bakery and dairy follow in Phase 2. The listing form shows only open categories.
- Time limits. Each category has a longest listing time, by how it is stored: for example 18 hours for tandoor breads, and for cooked food at most 2 hours at room temperature or 4 hours hot-held. Packaged goods, dairy and drinks follow their label date. The Food Safety Policy has the full table.
- Safe-until. The platform sets the safe-until time from these limits. You can shorten it, but never extend it.
- Hot months. From May to September, cooked food cannot be listed at room temperature at all. It must be hot-held or chilled.
- Never allowed: food past its use-by date, home-cooked food, plate returns or part-eaten food, opened dairy drinks, recalled products, alcohol and tobacco. Raw meat, poultry and fish are not allowed at launch.
These limits will be confirmed with a food-safety adviser or the Islamabad Food Authority before launch, and we will tell you before any change applies.
5. Listing rules
- Sold whole. A listing is one batch of food at one pickup point, at one price, sold whole to one NGO.
- Price. At least Rs 1,000 and no more than 50% of the food’s normal retail value, in whole rupees. Once the food is claimed, the price is fixed.
- Photos. 1 to 3 real photos of the actual food, the first required. No stock images or photos of an earlier batch.
- Pickup window. At least 30 minutes long, ending at least 60 minutes after you publish and at least 30 minutes before the safe-until time. Late-night windows are allowed.
- Real food only. List only food that will be ready for the whole window, packed as you describe: sealed containers, foil trays, or loose.
- Changes. You can edit or withdraw a Live listing with no penalty. Once it is claimed, you can only change the wording, add photos or update the pickup instructions.
- Review. We check your first 3 listings, and any with an unusual price, weight or photo, before they go live. We may correct an obvious error or remove a listing that breaks the rules, and we tell you why.
6. Handover
- The NGO’s collector may check the food’s look, smell and temperature before the code is entered, and may refuse food that looks unsafe.
- Hand food over only when the collector gives the right 4-digit pickup code. You or your staff type the code, confirm the quantity actually handed over and tap Confirm. Never confirm a handover that did not happen.
- You see the name of the collector the NGO expects. If someone else comes, you can call the NGO first.
- A collector up to 30 minutes after the window ends is late, not a no-show. After that we ask you “Did they collect?”. Answer truthfully. If not, the order becomes a No-show and you are paid as usual.
Responsibility for the food passes to the NGO at handover.
7. Rizq Rasan as your payment-collection agent
- The appointment. You appoint Rizq Rasan as your limited agent for one purpose: to collect the price of your orders from NGOs through our payment gateway, refund NGOs in the cases this agreement sets out, and pay your share to you.
- Paying us is paying you. When an NGO pays Rizq Rasan for an order, the NGO has paid you, and its debt to you for that order is settled. The sale stays between you and the NGO. We never buy, own or sell the food.
- How the money is held. Money we collect for vendors sits in a collections account kept apart from company money until paid out. You hold no balance or wallet with us, and no interest is paid.
- What you allow us to do. Register you with our payment gateway, PayFast, as a sub-merchant and share the details it needs; issue receipts to NGOs; and deduct our commission, tax we must withhold and refund costs you caused before paying you.
- No other way to pay. Never ask an NGO to pay you another way, including cash at pickup, for food claimed through Rizq Rasan.
Before live payments start, this structure will be confirmed in writing with PayFast and in a written opinion from a Pakistani lawyer.
8. Our commission and what you receive
Rizq Rasan keeps a commission of 5% of the listing price, services tax included, rounded down to the whole rupee in your favour, and pays the gateway’s fee on normal sales out of it. You receive 95% of the listing price, before any tax the law requires us to withhold. Tax withheld and the costs of refunds you caused (section 10) are deducted from your share and shown line by line. There is no sign-up, monthly or listing fee, and NGOs pay the listing price with nothing added.
| Listing price (NGO pays) | Rizq Rasan’s commission | You receive, before tax withheld by law |
|---|---|---|
| Rs 1,200 | Rs 60 | Rs 1,140 |
| Rs 1,250 | Rs 62, rounded down | Rs 1,188 |
| Rs 10,000 | Rs 500 | Rs 9,500 |
A change to the commission rate applies only to listings published after it takes effect. Try the commission calculator.
9. Payouts and holds
- When an order becomes payable. When it is Completed, or a confirmed No-show, and PayFast has settled the money into the collections account, usually 2 to 3 working days after payment. An order is Completed when the NGO confirms receipt, when 24 hours pass after pickup with no problem reported, or after 48 hours if neither side confirms anything.
- Payout days. Every Monday and Thursday, by bank transfer or Raast bulk payment, only to the verified account in your business name. We aim to pay within 6 working days of pickup. Two of our admins approve every batch.
- What you see. Each order shows as Pending, Eligible, In batch, Paid or On hold. Each payout comes with an email listing every order, our commission, any tax withheld and the bank reference, plus a tax invoice for our commission.
| When | What is held | Until |
|---|---|---|
| An order is disputed | That order only. Your other orders are paid as normal | The dispute is decided |
| You change your payout account | All your payouts, and the owner gets an email | 48 hours have passed |
| Card payments are on (Phase 2) | 5% of your card sales | 30 days have passed |
10. Refunds, cancellations and clawbacks
Gateways keep their fee when a payment is refunded, so whoever caused a refund bears that fee and any tax already withheld on it.
| What happens | NGO gets back | Our commission | Who bears the gateway fee and tax already withheld | Strike for you |
|---|---|---|---|---|
| You cancel after the NGO paid | 100% | Not charged | You | Yes |
| Food refused at pickup, before the code is entered | 100%, straight away | Not charged | You if we uphold the refusal, otherwise Rizq Rasan | If we uphold the refusal |
| Problem reported after pickup and upheld | Full or partial, as decided | Falls in proportion | You | If it is a food-safety problem |
| You hand over less than listed | The missing share, automatically | Falls in proportion | You | If more than 10% short |
| You were closed or the food was not ready | 100% | Not charged | You | Yes |
| NGO cancels at least 60 minutes before pickup starts | 100% | Not charged | Rizq Rasan | No |
| NGO cancels later, or does not turn up | Nothing | Charged | Nobody extra. You are paid | No |
- Cancelling after payment. Cancel only if you truly cannot hand the food over, and as early as you can. We offer the NGO up to 3 similar listings.
- Closed or not ready. If the collector finds you closed or the food not ready within the window, they report it from the collector pass. If you don’t reply within 2 hours, the NGO is refunded in full and you get a strike. If you reply, we decide it as a dispute.
- Short handover. Enter the real quantity at handover. For example, you list 40 naan for Rs 2,000 and hand over 30. The NGO gets Rs 500 back automatically, our commission falls to Rs 75, and you receive Rs 1,425 less the refund costs on the Rs 500. Being 25% short, you also get a strike.
- Recovering what you owe. Refund costs you caused come out of your next payout, with a credit note where tax was charged on reversed commission. If there is no payout to deduct from, for example after you close your account, we invoice you.
The Payments and Refunds policy sets out every case and how long each refund takes.
11. Staff accounts
- The owner can invite counter or shift staff with a pickup-only role: they see the day’s pickups and enter pickup codes, but cannot list food, change your details or see money.
- Everyone uses their own login. Shared logins are not allowed.
- You are responsible for everything done through your staff accounts. Make sure your staff follow section 6, and remove access as soon as someone leaves.
- Only the owner can change the payout account. Any change pauses payouts for 48 hours.
12. Reliability, strikes and appeals
Your reliability score, from 0 to 100, is built from your orders in the last 90 days. Below 60, you may have at most 3 live listings until our team reviews your account. Section 10 shows what causes a strike.
| Active strikes | What happens |
|---|---|
| 1 | A warning |
| 2 | A 48-hour freeze on new listings |
| 3 | A 7-day suspension and a review by our team |
Strikes expire after 60 days and come with a written reason. You can appeal a strike within 24 hours and a suspension within 7 days, and a person reviews every appeal. We can forgive one strike per 90 days on appeal. No strike is given for a missed deadline or pickup caused by an internet, power or payment outage. Uploading forged documents means permanent removal. See the Reliability and No-show Policy.
13. Food incidents, insurance and indemnity
- Tell us within 24 hours about any food incident linked to food you listed, such as a report of illness, and about any action by the Islamabad Food Authority against your business.
- What we do. We can freeze all your live listings in the same category and tell every NGO that collected from the same batch, and we cooperate with the Islamabad Food Authority. You agree to answer our questions promptly, share your records for the batch and follow any direction from the authorities.
- Insurance. We encourage you to carry product liability insurance, though it is not required at launch.
- Indemnity. To the extent the law allows, you agree to cover Rizq Rasan’s reasonable losses and costs, and claims made against us, arising from unsafe, wrongly described or unlawfully sold food you listed, your breach of this agreement or the law, or the acts of your staff, but not loss caused by our own negligence or fraud. Our liability to you is limited as section 15 of the Terms of Service explains.
14. Records, statements and tax
- Your own taxes. You are responsible for tax on the food you sell and for your own accounts. We do not give tax advice.
- Tax we withhold. If the law requires us or our payment gateway to withhold tax on your sales, for example under section 6A of the Income Tax Ordinance 2001, we deduct it, show it line by line and give you the evidence of deduction the law provides for. A tax adviser will confirm before launch whether these rules apply.
- Reporting to FBR. Since 1 July 2025, FBR rules bar online marketplaces from serving sellers without an NTN and require monthly statements on sellers. If these apply to us, your details will be in them. Tell us if your NTN or Active Taxpayer List status changes.
- Records. We keep your documents and payment records for the life of your account plus 6 years, under section 174 of the Income Tax Ordinance 2001 (see Data Retention). Keep your own records of preparation times and storage for food you list, and show them to us or the Islamabad Food Authority in a food-safety case.
15. Card payments (Phase 2)
Cards are off at launch. If we switch them on in Phase 2, we will tell you at least 14 days before. From then, 5% of your card sales is held for 30 days as a reserve against chargebacks, and a chargeback after you were paid is recovered from the reserve or your future payouts.
16. Term, suspension and termination
- Length. This agreement lasts from your approval until you or we end it.
- By you. You can close your account once you have no open orders. Money due to you is paid in the normal runs, less anything you owe.
- By us. We can suspend or remove your business if you break this agreement, the terms or the law, put food safety or other users at risk, or no longer meet section 2. We give a written reason, and you can appeal a suspension within 7 days. While suspended, your listings are hidden, your paid orders are refunded to the NGOs, and you keep read access to your records.
- What survives. Money owed either way, refunds and clawbacks, your indemnity, limits of liability and record-keeping.
17. Changes and general terms
- Changes. We tell you about material changes, including to the commission rate, by email at least 14 days ahead, and show the new version and effective date here. If the law or a safety risk requires a change sooner, we tell you as soon as we can. If you don’t agree, you can close your account first.
- Our relationship. Apart from the limited agency in section 7, this agreement does not make us partners, employer and employee, or joint venturers. You may not transfer it or your account.
- Disputes and law. Order disputes with an NGO follow our Complaints and Disputes policy. Disputes with us follow section 19 of the Terms of Service, under Pakistani law and the courts at Islamabad.
- Language and notices. The English text is binding. We send notices to the email address on your account, and you can write to us at hello@rizqrasan.pk.
